Terms of use

Subject to these Terms of Use (this "Agreement"), Enerdata makes available certain on-line information and services on various websites ("Our Service") to registered and/or authorized users ("you" or "your"). Our Service presents information, data, content, news, reports, programs and other materials and services, communications, transmissions and other items, tangible or intangible, which are referred to as "Material." Your use of Our Service constitutes your acknowledgement of and assent to be bound by this Agreement.

Unless there is another written agreement between you and us that covers your use of part or all of Our Service, this is the entire agreement between you and us. If there is another written agreement between you and us that covers your use of part of Our Service, this Agreement covers all other use of Our Service by you. Whenever new products or services become available, your use of them will be under this Agreement unless we notify you otherwise or another written agreement covers your use of those new products or services.

Permitted Use, Limitations on Use

You may access and download the Material only as required to view the Material on your web browser for your individual use, keeping all copyright and other notices on the Material. You may print a single copy of Material for your use. You may not republish or distribute any Material or do anything else with the Material, which is not specifically permitted in this Agreement. You agree to comply with all notices and requirements accompanying Third-Party Content (see paragraph 3 under Terms of Use).

Anti-hacking Provision

You may not, nor may you allow others to, directly or indirectly: (a) attempt to or actually disrupt, impair or interfere with, alter or modify Our Service or any Material; or (b) collect or attempt to collect any information of others, including passwords, account or other information.

Governing Law

The laws of France govern this Agreement and your use of Our Service. You agree to comply with all laws, regulations, obligations and restrictions, which apply to you. You agree that the courts located in Grenoble, France have exclusive jurisdiction for any claim, action or dispute under this Agreement. You also agree and expressly consent to the exercise of personal jurisdiction in Grenoble. No failure or delay in enforcing any right shall be a waiver of that or any other right. If any term of this Agreement is held invalid, illegal or unenforceable, the remaining portions shall not be affected.

Copyrights

The content of all websites developed, maintained and updated by Enerdata, for its own purpose or for clients, including but not limited to enerdata.net domain and subdomains, enerdata.fr domain and subdomains, enerdata.co.kr domain and subdomains, enerdata.jp domain and subdomains, enerdata.ru domain and subdomains, enerdata.net.cn domain and subdomains, and all Publications (“material”) is protected by copyright, trademarks, database and other intellectual property rights. You may retrieve and display the content of a websites on a computer screen, store such content in electronic form on disk (but not any server or other storage device connected to a network) or print one copy of such content for your own personal, non-commercial use, provided you keep intact all and any copyright and proprietary notices. You may not otherwise reproduce, modify, copy or distribute or use for commercial purposes any of the Publications displayed on the websites or otherwise without written permission from Enerdata.
No license is granted to you in these Terms and Conditions to use any trademark of Enerdata or its affiliated companies.

By accepting these terms and conditions, you agree to receive the information mailings from Enerdata. You may at any time opt-out of these mailings by following the “unsubscribe” directions in the email, replying to the email with the word "unsubscribe" in the subject line, or by entering your email address in the unsubscribe form. Please refer to our Privacy Policy for more information about the management of your personal information.

PRODUCT TERM – ONLINE ORDERS

Please read these product terms and conditions carefully as they affect your rights and liabilities under the law and set out the terms under which Enerdata makes the products available to you ("Product Terms"). By placing an online order through this website (“Site") you agree to be bound by these Product Terms.

These Product Terms relate to the sale and purchase of our products that are available for immediate online delivery only. Separate product terms apply for the sale and purchase of our products that are ordered and delivered offline, including but not limited to hardcopy, CD-ROM copy, email copy, and fax.

1. Prices

The prices payable for the reports and data sets / data extractions that you order are clearly displayed in the site. If, by mistake, we have under-priced an item, we will not be liable to supply that item to you at the stated price, provided that we notify you before we dispatch the item concerned. All prices are expressed exclusive of any VAT or other taxes payable unless otherwise stated. The price of the items does not include the delivery charge (if applicable) which will be charged at the rates applicable at the date you place your order and which will be displayed to you at the time you place your order.

2. Availability

If for any reason beyond our reasonable control, we are unable to supply a particular item, we will notify you as soon as possible.

3. Acceptance

For online delivery orders only, there will be no contract of any kind between you and us unless and until we actually dispatch the goods to you. At any point up until then, we may decline to supply the goods to you without giving any reason. At the moment that the goods are dispatched (and not before), a contract will be made between you and us, and you will be charged for the goods.

4. Delivery

For all information reports / data sets bought online, download is immediate upon online payment. Once the payment is validated on the secured page of our bank, simply click “go to the shop”: a link will be available to download immediately your purchase. If the download does not happen, simply log in into your client account (created when completing the order form), and download. 5. Cancellation

Due to the nature of our Publications, and the fact that they are available online, all sales of Publications are final. This does not affect your statutory rights.

6. Returns

Publications can only be returned with the express written consent of Enerdata. This does not affect your statutory rights.

7. Payment

Secured online payment is achieved by our bank, Banque Populaire Alpes. Visa, Mastercard and PayPal are accepted. Your credit/debit card details will be encrypted to minimize the possibility of unauthorized access or disclosure. Authority for payment must be given at the time of order.
Our liability to you in connection with any order will not exceed the total price charged for the relevant items.
Please ensure that the expiry date of your payment card is after the anticipated dispatch date of your order. Payment is taken at the point of dispatch for goods and in the event that the payment card has expired we will be unable to take payment and fulfil your order.

PRODUCT TERM – OFFLINE ORDERS / ANNUAL SUBSCRIPTION

These Product Terms relate to the sale and purchase of our products that are sold and delivered offline, including but not limited to, hardcopy, CD-ROM copy, email copy, and fax. Separate Product Terms apply for the sale and purchase of our products that are ordered and delivered online.

1. Prices

The prices payable for the “material” that you order are clearly stated in the commercial proposal agreed upon and prepared by Enerdata. Prices are built according to the product category, update policy, number of users committed to the subscription. All prices are expressed exclusive of any VAT or other taxes payable unless otherwise stated. The price of the items does not include the delivery charge (if applicable), which will be charged at the rates applicable at the date you place your order, and which will be displayed to you at the time you place your order.

2. Availability

If for any reason beyond our reasonable control, we are unable to supply a particular item, we will notify you as soon as possible.

For offline delivery orders only, there will be no contract of any kind between you and us unless and until we receive a confirmed credit card authorization or a Purchase Order, and we accept such purchase order. At any point up until then, we may decline to supply the goods to you without giving any reason. At the moment we accept your order (and not before), a contract will be made between you and us, and you will be charged for the goods.

4. Delivery

Offline orders will be delivered to the address and/or email address specified by you on the completed order form. We will do our best to secure delivery within 10 working days of the date of your order, most often within 24 hours, but shall not be liable for loss occasioned by delay in delivery arising out of any cause beyond our control.

5. Subscription Renewal / Cancellation

All subscriptions are annual. Renewal of subscription is led by Enerdata commercial team or by the subscriber. Renewal conditions are agreed between Enerdata and the client, for a period of 12 months. No cancellation can occur before the end of the 12 months period.

6. Returns

Publications can only be returned with the express written consent of Enerdata. We will accept returns for hardcopy Publications / CD-ROM that have been damaged in transportation. All claims must be made in writing within 48 hours of delivery. This does not affect your statutory rights.

7. Payment

Payment conditions are within 30 days upon invoice reception. You can pay by cheque or bank transfer, subject to the receipt of an acceptable purchase order by Enerdata. We also accept orders over the telephone, subject to our approval. Our liability to you in connection with any order will not exceed the total price charged for the relevant items.
